GENERAL CONDITIONS OF SALE

SAS PARCS DE TOURAINE ET VAL DE LOIRE

The present special conditions of sale specify the general conditions resulting from the provisions of decree n°94-490 of 15 June 1994 taken in application of law n°92-645 of 13 July 1992 fixing the conditions of exercise of the activities relating to the organisation and sale of travel or stays duly applicable to the present.

SNC PARCS DE TOURAINE ET VAL DE LOIRE is the owner and operator of a family leisure and attraction area, located at Les Hauts Bœufs - BP 319 - 37400 Lussault sur Loire, called "Grand Aquarium de Touraine" and a family leisure and attraction area, located at Route de Chenonceaux - 37400 Amboise, called "Mini-Châteaux".

The purpose of the present provisions is to govern the contractual relations between the customer and SAS PARCS DE TOURAINE ET VAL DE LOIRE when booking access tickets to the leisure areas of the Grand Aquarium de Touraine and the Mini-Châteaux, and the performance of the associated services as proposed in the brochure(s), hereinafter referred to as the leisure areas of PARCS DE TOURAINE ET VAL DE LOIRE.

It is understood that SAS PARCS DE TOURAINE ET VAL DE LOIRE is the sole contact for the customer for any claim relating to the interpretation or execution of the present contract. In this respect, it is specified that SAS PARCS DE TOURAINE ET VAL DE LOIRE cannot be held responsible in the event that the non-respect of the obligations implied by the present contract is due to a fortuitous event, a case of force majeure or to the actions of any person unrelated to the organisation and running of the holiday and the services provided on this occasion.

SAS PARCS DE TOURAINE ET VAL DE LOIRE holds a Professional Civil Liability insurance policy n° 7400019823, taken out with Zurich Insurance Plc.

The reservation and/or order of stays implies the acceptance of the general and particular conditions of SAS PARCS DE TOURAINE ET VAL DE LOIRE, extracts of which appear on the back of the invoices of the Reservations Department, in force on the day of the said reservation and/or order, subject to particular provisions to the contrary. It is expressly stated that the information in the PARCS DE TOURAINE ET VAL DE LOIRE leisure areas brochure may be subject to changes during the season, which are brought to the attention of the customer prior to confirmation of the reservation, with the exception of those relating to shows, attractions, shops, entertainment, restaurants and other ancillary services, which may be closed, modified, delayed or withdrawn without prior notice

The purpose of the present conditions is to inform the Customer of the content of the holidays offered and in particular, the price, the terms of payment, the conditions for cancellation and modification of the contract. The description of the places of stay and the associated services included in the package are those known at the time the brochure went to press. This information is therefore subject to change. As far as possible, the Client will be informed of any changes before the date of the holiday.

I - SPECIAL CONDITIONS APPLICABLE TO THE RESERVATION AND PURCHASE OF ACCESS TICKETS TO THE TOURAINE AND VAL DE LOIRE PARKS (with or without combination)

I.1 - Pricing

The prices specified herein are expressed in euros. They may be revised after their publication and at any time during the season when the PARCS DE TOURAINE ET VAL DE LOIRE leisure facilities are open to the public, as specified in the commercial brochure.

When the tariff conditions are linked to the age of the child or children, this is determined in consideration of the age of the child or children on the first day of the stay. Proof of the children's date of birth may be requested before or during the visit. If the requested documents are not presented, the adult rate is automatically applicable.

These provisions apply to both individual and group ticket reservations.

I.1.1 - Children

The individual child rates are applicable to children aged 4 to 12 inclusive. Children under 4 years of age may access the PARCS DE TOURAINE ET VAL DE LOIRE leisure areas free of charge.

The group child rates are applicable to children from 2 to 14 years old inclusive. Children under 2 years of age have free access to the leisure areas of PARCS DE TOURAINE ET VAL DE LOIRE.

I.1.2 - Dated ticketing

The dated ticketing rates are applicable to all purchases of entry tickets to the leisure areas of PARCS DE TOURAINE ET VAL DE LOIRE, for groups of at least 20 people (children and adults combined) paying on a fixed date.

I.1.3 - Undated individual ticketing

The undated individual ticketing rates are applicable for any purchase of a minimum of 20 individual entry tickets to the PARCS DE TOURAINE ET VAL DE LOIRE leisure areas. They concern undated tickets valid for two consecutive seasons.

I.2 - Booking conditions

I.2.1 - Booking conditions applicable to dated tickets

Reservations must be made at least three weeks before the date of the group's visit to the site. In order to be validated, the reservation must be confirmed in writing (fax, email or post), in the form of a pro-forma invoice, in lieu of a contract, by the Reservations Department of SAS PARCS DE TOURAINE ET VAL DE LOIRE or any other natural or legal person designated by SAS PARCS DE TOURAINE ET VAL DE LOIRE to record reservations in its name and on its behalf, subject to availability.

All group bookings must specify the number of visitors (adults and children under 15 years of age), the products that may be combined (Grand Aquarium de Touraine, Mini-Châteaux, Mini-golf, Catering and other complex products) and, where applicable, the number of covers or PARCS DE TOURAINE ET VAL DE LOIRE Restaurant Vouchers ordered in accordance with the terms and conditions set out in section II below.

Reservations are only definitively taken into account by SAS PARCS DE TOURAINE ET VAL DE LOIRE after payment of a minimum deposit of 30% of the amount of the reservation. The balance is payable at the latest on the day of the visit.

For all advance shipments of dated tickets, payment of 100% of the reservation amount is required; this must be made no later than 21 days before the date of the visit. The tickets ordered must then be sent by post with acknowledgement of receipt.

I.2.2 - Booking conditions for undated individual tickets

Purchases of a minimum of 20 individual tickets must be made by post, accompanied by payment of the total amount of the order. The tickets ordered are then sent, together with an invoice, by post with acknowledgement of receipt (on request, they can be sent by Chronopost at the statutory rate, invoiced to the customer).

The present booking conditions (dated tickets and undated individual tickets) are not applicable in the case of promotions, on certain products or during certain periods of the year, for which the booking conditions are specified in the brochure or on documentation specially published for this occasion.

I.3 - Modification or Cancellation

I.3.1 - Modification by the client

Requests to modify a reservation must be made in writing (fax, e-mail or letter). By express agreement, the modifications accepted are those that have been expressly agreed to (in writing) by the Reservations Department of SAS PARCS DE TOURAINE ET VAL DE LOIRE.

The terms of payment are those applicable to the reservation, which may be updated. Deposits already paid to SAS PARCS DE TOURAINE ET VAL DE LOIRE on the day of the request for modification are deemed to be acquired and may only be reimbursed in the context of the provisions below, "cancellations".

When a modification to a reservation, duly accepted by the Reservations Department of SAS PARCS DE TOURAINE ET VAL DE LOIRE, generates a price increase, the additional amount is directly integrated into the invoice drawn up by the Reservations Department of SAS PARCS DE TOURAINE ET VAL DE LOIRE.

In the event of a request to change the date of a dated ticket, which has already been invoiced, SAS PARCS DE TOURAINE ET VAL DE LOIRE will charge a handling fee of 30 euros (including tax). This sum is directly integrated into the invoice drawn up by the Reservations Department of SAS PARCS DE TOURAINE ET VAL DE LOIRE.

I.3.2 - Cancellation of a group and conditions for reimbursement of dated tickets for groups

Total cancellation of a group.

Any total cancellation of a group must be notified as soon as possible in writing to the Reservations Department of SAS PARCS DE TOURAINE ET VAL DE LOIRE, and in any case before the date of the visit.

Partial cancellation of a group.

In the event that the number of participants in a group is reduced to less than the minimum number required for the category of dated tickets ordered, SAS PARCS DE TOURAINE ET VAL DE LOIRE will invoice the tickets ordered by the customer at the rate actually applicable according to the number of participants. Thus, if the number of participants is reduced to less than 20 people, the tickets are invoiced to the customer at the public rate for undated individual tickets.

Refunds.

Unused dated tickets for groups must be returned by registered post with acknowledgement of receipt to the Reservation Department of SAS PARCS DE TOURAINE ET VAL DE LOIRE.

Unused dated tickets, following a partial cancellation, are reimbursed to the customer on condition that they are returned to SAS PARCS DE TOURAINE ET VAL DE LOIRE, within 15 days of their face value date, under the same conditions as specified above.

Dated tickets, returned following a total cancellation, will be the subject of a credit note on condition that they are returned to SAS PARCS DE TOURAINE ET VAL DE LOIRE, within 15 days of their face value date, under the same conditions as specified above, less a fixed sum of 30 euros for administration costs.

I.3.3 - Cancellation conditions for undated tickets

Undated tickets are valid for two consecutive seasons. They may not, for any reason whatsoever, be refunded, exchanged or taken back.

I.4 - Terms of payment

Our final invoices are payable from the date of issue. The amount of our invoices is increased, by way of penalty, for each month of delay, by a sum calculated on the basis of the Banque de France discount rate plus 3 points. For dated tickets not sent to the customer in advance, the balance is payable immediately to the PARCS DE TOURAINE ET VAL DE LOIRE cash desk on the day of the visit.

For legal entities governed by public law, payment is made on the basis of the commitment to pay materialised by the order form sent by the customer to the Reservations Department of SAS PARCS DE TOURAINE ET VAL DE LOIRE.

II - SPECIAL CONDITIONS FOR RESTAURANT RESERVATIONS

APPLICABLE TO GROUPS

The provisions of section I above are applicable mutatis mutandis to these special conditions for group catering reservations, subject to the following conditions.

II.1 - Booking conditions

In addition to the booking conditions specified in section I, the conditions for booking catering are specified by the following provisions:

Only groups of 20 people or more (adults and children combined) are entitled to book catering.
The menu chosen must be identical for all the adults in the group; only one children's menu may be chosen for each group. The time of the meal is specified by PARCS DE TOURAINE ET VAL DE LOIRE in the 11 a.m. - 3 p.m. slot.
The number of group menus should preferably be reserved at the same time as the starters. The reservation is taken into account from the time of confirmation by PARCS DE TOURAINE ET VAL DE LOIRE.
Reservations for catering services must be made at least three weeks before the date of the visit, subject to availability.
The conditions of payment are the same as those set out in section I.


II.1.1 - Menus - Pricing

All prices are inclusive of tax and service.

The menus and the related prices are provided for information only and may vary according to supplies.

II.2 - Payment conditions - Total or partial cancellation

II.2.1 - Payment conditions

The Reservations Department of SAS PARCS DE TOURAINE ET VAL DE LOIRE confirms the order by issuing a pro-forma invoice, in lieu of a contract, based on the number of meals ordered. The reservation is definitively taken into account after payment of a deposit of 40% of the amount of the order. The balance is payable on the day of the visit.
If the payment is not received by the Reservations Department of SAS PARCS DE TOURAINE ET VAL DE LOIRE at the latest eight days before the visit, the reservation is automatically cancelled.

II.2.2 - Total or partial cancellation

The customer may cancel all or part of his group reservation under the following conditions:
The cancellation is received by the Reservations Department of SAS PARCS DE TOURAINE ET VAL DE LOIRE less than or equal to 8 days before the date scheduled for the meal: the total amount of the cancelled service becomes payable by right and is invoiced to the customer by SAS PARCS DE TOURAINE ET VAL DE LOIRE:
The cancellation is received by the Reservations Department of SAS PARCS DE TOURAINE ET VAL DE LOIRE at the latest 9 days before the date scheduled for the meal: no penalty is applied and the amount of the deposit paid by the customer is the subject of a credit note.
Without prejudice to the above provisions, the partial cancellation by the customer of his group reservation is not subject to any penalty if it represents less than 5% of the amount of the order.
Cancellation is only taken into account if it is duly formulated in writing.


II.2.3 - Modification

Requests for changes must be made in writing and must reach the Reservations Department of SAS PARCS DE TOURAINE ET VAL DE LOIRE at the latest 9 days before the date scheduled for the meal, in order to be processed.

Changes to increase the number of reservations are deemed to have been accepted when they have been agreed in writing by the Reservations Department of SAS PARCS DE TOURAINE ET VAL DE LOIRE.

Requests for changes to reduce the number of reservations are subject to the provisions of article II.2.2 "Total or partial cancellation" above.

II.3 - Guarantee of cutlery

On arrival at the group reception desk at the various sites or when Restaurant Vouchers are sent, the time of the meal is confirmed according to the restaurant's availability. The time indicated at this time must be respected by the group. In the event of a delay of more than 10 minutes, PARCS DE TOURAINE ET VAL DE LOIRE reserves the right to modify the meal time.

III - COMMON PROVISIONS

III.1 - Intellectual property rights

The customer does not acquire any right of ownership or use and may not use the names, signs, emblems, logos, trademarks, copyright and other signs or other literary, artistic or industrial property rights of SAS PARCS DE TOURAINE ET VAL DE LOIRE.

III.2 - Force majeure

The Management of SAS PARCS DE TOURAINE ET VAL DE LOIRE reserves the right to cancel any reservation if it is forced to do so by events of force majeure or unforeseen circumstances, such as, but not limited to, strikes, fire, water damage, lack of access, etc. In such a case, SAS PARCS DE TOURAINE ET VAL DE LOIRE may propose another date for visiting the site.

III.3 - Insurance

III.3.1- Civil liability of customers

SAS PARCS DE TOURAINE ET VAL DE LOIRE declines all responsibility for damage of any kind and, in particular: fire and/or theft, likely to affect the effects, objects or materials brought by visitors, which have not been deposited in premises reserved for this purpose. Each visitor is responsible for any damage, direct or indirect, that he/she may cause during his/her presence on the leisure areas of PARCS DE TOURAINE ET VAL DE LOIRE.

Complaints resulting from a dispute concerning the methods of execution of the services covered by the present contract must be made in writing and addressed to the visitor reception service of SAS PARCS DE TOURAINE ET VAL DE LOIRE. Complaints may be made on the site; incident forms are available to visitors at the visitor reception desk.

III.3.2 - Professional Civil Liability of SAS PARCS DE TOURAINE ET VAL DE LOIRE.

SAS PARCS DE TOURAINE ET VAL DE LOIRE holds a Professional Civil Liability Insurance Policy taken out with XL Insurance Company SE, contract number FR00013688LI19A (50 rue Taitbout - 75320 Paris Cedex 09). It covers the consequences of the professional civil liability that may fall to PARCS DE TOURAINE ET VAL DE LOIRE due to bodily injury, material and immaterial damage caused to its clients or third parties as a result of its professional activity as a leisure activity manager up to a limit of 30 million euros for bodily injury, material and immaterial damage combined.
